Terms of Service

The rules that govern your use of Cardzyra. Please read them carefully before funding your wallet or using any service.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Cardzyra ("Cardzyra", "we," "our," or "us") governing your access to and use of our website, dashboard, wallet, and related services (together, the "Service"). By creating an account, funding your wallet, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not register for or use the Service.

2. Eligibility

You may only use the Service if you:

  • Are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher
  • Have the legal capacity to enter into a binding contract
  • Are not barred from using the Service under the laws of your country of residence or any other applicable law
  • Are not listed on any government sanctions, watch, or prohibited-persons list

We may request proof of age or identity at any time and may restrict or terminate accounts that do not meet these requirements.

3. Description of Service

Cardzyra is a technology platform that lets you fund a wallet and use that balance to pay for one or more of the following services, depending on what is currently enabled on the platform:

  • Bill Payments (VTU): airtime top-ups, data bundles, cable TV subscriptions, electricity tokens, and exam pins, fulfilled through third-party network and utility providers
  • Virtual Numbers: temporary phone numbers for receiving SMS and one-time passwords (OTPs), sourced through third-party SMS/number providers
  • Referral Program: a commission scheme that rewards you for inviting new users who fund their wallet

Not every service listed above may be active at all times. We may add, remove, or modify services, and features described as "coming soon" (such as cards or dedicated digital account numbers) are not yet available and, when launched, will be subject to additional terms and, where applicable, the terms of our licensed banking or card-issuing partners.

4. Account Registration and Security

To use most features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date
  • Maintain the confidentiality of your login credentials and any transaction PIN
  • Accept full responsibility for all activity that occurs under your account, whether or not authorized by you, except where caused by our proven negligence
  • Notify us immediately at the contact details in Section 20 if you suspect unauthorized access to your account
  • Maintain only one account per person unless we expressly permit otherwise; duplicate accounts may be merged, suspended, or forfeited, including any referral or promotional balances

5. Verification and Know-Your-Customer (KYC)

Because the Service involves the movement of funds, we may, at our discretion or as required by law or our payment partners, ask you to verify your identity (for example, your name, phone number, email address, government-issued identification, or bank verification details) before or after you fund your wallet, withdraw earnings, or reach certain transaction thresholds. We may limit, suspend, or decline transactions until verification is completed, and we may refuse service to anyone who does not complete verification to our reasonable satisfaction.

6. Wallet, Funding and Fees

  • Nature of the wallet balance: your wallet balance is a prepaid credit redeemable only for services on Cardzyra. It is not a bank account or deposit, does not earn interest, and is not insured by any deposit insurance scheme, unless we explicitly state otherwise for a specific regulated product.
  • Funding methods: you may fund your wallet through the payment channels we make available from time to time (for example, card, bank transfer, or licensed payment gateways). Payment processing is handled by third-party, licensed payment service providers; we do not store your full card or bank credentials.
  • Pricing: prices for services are displayed at the point of purchase and may change at any time without prior notice. The price in effect at the time you confirm a transaction applies to that transaction.
  • Cash withdrawals: unless a specific feature (such as marketplace seller payouts) expressly allows withdrawal to a bank account, wallet balances are not redeemable for cash and cannot be transferred to another user or withdrawn.
  • Currency: your wallet balance is denominated in ₦, or such other currency as we may support.

7. Service-Specific Terms

7.1 Bill Payments (VTU)

  • You are solely responsible for entering the correct phone number, meter number, smart card number, or other billing reference. We are not liable for payments delivered to an incorrect destination due to information you provided.
  • Delivery times depend on third-party network and utility providers and are not guaranteed. Where a provider confirms that a transaction failed, the amount charged is returned to your wallet in line with our Refund Policy.

7.2 Virtual Numbers

  • Virtual numbers are temporary, may be recycled or reassigned after use, and are not suitable for ongoing or personal use as a primary phone line.
  • We do not control, and cannot guarantee, whether any third-party platform (such as a messaging or social app) will accept a given virtual number for verification. Some platforms actively block virtual numbers; charges for a number that is rejected by the destination platform, but which was otherwise delivered and functional, may not be refundable.
  • You are responsible for ensuring your use of virtual numbers complies with the terms of service of any third-party platform you verify.

7.6 Referral Program

  • Referral commissions are earned in accordance with the rate and conditions displayed in your account at the time a referred user funds their wallet, and are credited at our discretion once qualifying activity is confirmed.
  • Self-referrals, fake accounts, coordinated sign-up rings, or any other attempt to artificially generate referral commissions are prohibited. We may withhold, reverse, or forfeit commissions, and suspend the accounts involved, where we reasonably suspect abuse.
  • The referral program may be modified, paused, or discontinued at any time; commissions already earned and confirmed before a change will not be affected by that change.

8. Acceptable Use

You agree not to use the Service to:

  • Engage in or facilitate fraud, money laundering, terrorist financing, or any other illegal activity
  • Verify accounts, boost engagement, or process payments for unlawful, fraudulent, or unauthorized purposes
  • Violate any applicable local, national, or international law or regulation
  • Infringe the intellectual property, privacy, or other rights of any third party
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any connected third-party system
  • Interfere with or disrupt the integrity or performance of the Service, including through malware, bots, or automated scraping not expressly authorized by us
  • Resell, sublicense, or redistribute access to the Service in a manner not expressly authorized by these Terms or a separate written agreement with us (including our Developer API terms, where applicable)

9. Anti-Fraud and Anti-Money Laundering

We reserve the right to monitor transactions, request additional information, delay or decline transactions, and freeze or close accounts that we reasonably believe are linked to fraud, money laundering, chargeback abuse, or violation of these Terms. Where required by law, we may report suspicious activity to competent authorities. You agree to cooperate with any reasonable request for information made in connection with such reviews.

10. Intellectual Property

The Service and its original content, design, features, and functionality are owned by Cardzyra and are protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our name, logo, or branding without our prior written consent.

11. Third-Party Services and APIs

Certain services rely on third-party providers, including network operators, utility companies, payment processors, SMS and number providers, and social engagement providers. We are not responsible for outages, delays, or errors caused by these third parties, though we will make reasonable efforts to resolve issues on your behalf. Where we offer API access for developers, that access is subject to any additional API-specific terms, rate limits, and usage policies we publish from time to time.

12. Suspension and Termination

We may suspend or terminate your account and access to the Service, with or without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to other users, us, or third parties. Upon termination for cause, any remaining wallet balance may be withheld pending investigation, forfeited where connected to prohibited activity, or, where appropriate and legally permissible, returned to you. You may close your account at any time by contacting us; any remaining balance will be handled in line with our Refund Policy.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any third-party provider (network, utility, payment, or social platform) will perform as expected.

14. Limitation of Liability

To the fullest extent permitted by law, Cardzyra, its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability to you for any claim arising out of or relating to the Service will not exceed the amount you paid to us in the six (6) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Cardzyra and its directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or connected with your use of the Service, your violation of these Terms, or your violation of any right of a third party.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Before initiating any formal legal proceeding, you agree to first contact us using the details in Section 20 so we can attempt to resolve the dispute informally. Subject to applicable law, any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Nigeria.

17. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor disputes, internet or telecommunications failures, power outages, changes in law or regulation, or failures of third-party providers or infrastructure.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by an updated "Last updated" date at the top of this page, and, where required by law or where we consider it appropriate, we will provide additional notice (such as an in-app or email notification). Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

19. Miscellaneous

  • Severability: if any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Entire agreement: these Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Cardzyra regarding the Service.
  • No waiver: our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: you may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
